DsReplay Ltd (“DsReplay,” “we,” “us,” or “our”) is a company registered in the United Kingdom, operating under UK law, with services available internationally. Our Services are provided subject to these Terms.

Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify DsReplay immediately of any unauthorized use of your account. 1.4. Prohibited Uses: You agree not to:
  • Use the Services for any unlawful or fraudulent activity.
  • Violate any applicable laws or regulations.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to our systems or data.
  • Use automated means (e.g., bots, scrapers) to access the Services without explicit permission.
  • Reverse engineer or copy any part of the Services.

2. Service Description and Limitations

2.1. DsReplay provides tools for backtesting, analysis, and replay of synthetic indices trading data (“Service”). The Service is provided “as is” and “as available” without warranties of any kind. 2.2. We do not guarantee the accuracy, completeness, or reliability of data or analysis provided through the Services. Historical performance is not indicative of future results. 2.3. DsReplay is not a financial advisor. Nothing in the Services constitutes financial advice, investment recommendation, or solicitation. 2.4. The Services may be updated, suspended, or discontinued at any time without prior notice.

3. User Content and Intellectual Property

3.1. You retain ownership of any content you upload or submit to the Services (“User Content”). 3.2. By submitting User Content, you grant DsReplay a worldwide, royalty-free, non-exclusive license to use, reproduce, adapt, publish, translate, and distribute such content for the purpose of operating and improving the Services. 3.3. You represent that you own or have all necessary rights to grant this license and that your User Content does not infringe any third-party rights. 3.4. All intellectual property rights in the Services, including software, designs, and trademarks, are owned exclusively by DsReplay or its licensors.

4. Payment and Refunds

4.1. Access to certain features or subscriptions requires payment. All fees are payable as specified at the point of purchase. 4.2. Payments are processed via our merchant of record, Polar SH. Your payment information is handled according to their policies. 4.3. Refunds, if any, are governed exclusively by our Refund Policy available on our Website. We reserve the right to deny refunds where conditions of that policy are not met.

5. Limitation of Liability

5.1. To the fullest extent permitted by law, DsReplay, its affiliates, officers, employees, and agents shall not be liable for:
  • Any indirect, incidental, consequential, special, or punitive damages.
  • Loss of profits, revenue, data, or goodwill.
  • Damages arising from use or inability to use the Services.
  • Errors, omissions, or inaccuracies in the Services or content.
5.2. Our total liability for any claim related to the Services shall not exceed the amount paid by you to DsReplay in the six (6) months preceding the claim.

You agree to indemnify, defend, and hold harmless DsReplay and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or misuse of the Services.

Your use of the Services is also governed by our Privacy Policy, which forms an integral part of these Terms.

8.1. DsReplay reserves the right to suspend or terminate your access to the Services at any time, with or without cause, including but not limited to violation of these Terms. 8.2. Upon termination, all rights granted to you under these Terms shall immediately cease.

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our Website. Continued use of the Services after changes constitutes acceptance.

11.1. Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and DsReplay. 11.2. Severability: If any provision of these Terms is found invalid or unenforceable, the remainder shall continue in full force. 11.3. Waiver: Failure to enforce any right shall not be deemed waiver of that right.
